Welcome to Vexa. These Terms of Service ("Terms") govern your use of the Vexa mobile application and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you confirm that you:
- Are at least 13 years of age (or the minimum age required in your jurisdiction)
- Have the legal capacity to enter into these Terms
- Will comply with all applicable laws and regulations
- Have read and understood our Privacy Policy
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Vexa is a platform that connects individuals who wish to donate items ("Donors") with verified organizations that need donations ("Organizations"). The Service includes:
- A mobile application for listing and browsing donations
- Communication tools between Donors and Organizations
- Notification services for donation requests and updates
- User profiles and organization pages
Vexa facilitates connections but is not a party to any donation transaction. We do not take possession of donated items or guarantee the completion of any donation.
3. User Accounts
3.1 Registration
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information as needed
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access
3.2 Account Types
Donor Accounts: Individual users who want to donate items. Donors can list items, respond to requests, and communicate with Organizations.
Organization Accounts: Registered nonprofits, charities, shelters, and community organizations. Organizations must provide verification information and agree to additional terms regarding their use of donations.
3.3 Account Termination
You may delete your account at any time through the app settings. We may suspend or terminate your account if you:
- Violate these Terms
- Engage in fraudulent or illegal activity
- Misuse the platform or harass other users
- Provide false information
4. User Conduct
You agree not to:
- Use the Service for any illegal purpose
- Post false, misleading, or fraudulent listings
- Harass, abuse, or harm other users
- Attempt to sell items (donations must be free)
- Collect user information without consent
- Interfere with the proper functioning of the Service
- Upload malicious code or content
- Impersonate others or misrepresent your affiliation
- Use automated means to access the Service without permission
5. Donations
5.1 For Donors
When listing items for donation, you represent that:
- You own the item or have authority to donate it
- The item is in the condition described
- The item is legal to transfer
- Photos and descriptions are accurate
You are responsible for coordinating pickup with Organizations and ensuring safe transfer of items.
5.2 For Organizations
When requesting donations, you represent that:
- You are a legitimate organization
- The donation will be used for stated purposes
- You will handle donations responsibly
- You will communicate honestly with Donors
5.3 Prohibited Items
The following items may not be listed for donation:
- Illegal items or controlled substances
- Weapons or explosives
- Hazardous materials
- Recalled products
- Counterfeit or stolen goods
- Items that infringe intellectual property rights
6. Content
6.1 User Content
You retain ownership of content you post (photos, descriptions, messages). By posting content, you grant Vexa a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with the Service.
6.2 Content Standards
Content must not:
- Be illegal, harmful, or offensive
- Infringe on others' rights
- Contain personal information of others without consent
- Be spam or unsolicited advertising
6.3 Content Removal
We may remove content that violates these Terms or is otherwise objectionable, at our sole discretion.
7. Intellectual Property
The Service, including its design, features, and content (excluding user content), is owned by Vexa and protected by intellectual property laws. You may not:
- Copy, modify, or distribute our content without permission
- Use our trademarks or branding without authorization
- Reverse engineer or attempt to extract source code
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee:
- The accuracy of information posted by users
- The quality, safety, or legality of donated items
- That Organizations are legitimate or trustworthy
- That the Service will be uninterrupted or error-free
- The completion of any donation transaction
You use the Service at your own risk. We recommend meeting in safe, public locations for donation pickups.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEXA SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, or consequential damages
- Loss of profits, data, or goodwill
- Personal injury or property damage resulting from donations
- Actions or content of other users
- Unauthorized access to your account or data
Our total liability shall not exceed the amount you paid us (if any) in the twelve months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Vexa, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any content you post or submit
11. Dispute Resolution
Any disputes arising from these Terms or your use of the Service shall be resolved through:

- Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.
You agree to waive your right to participate in class action lawsuits or class-wide arbitration.

We may modify these Terms at any time. We will notify you of material changes by:
- Posting a notice in the app
- Sending an email to your registered address
- Updating the "Last updated" date
Continued use of the Service after changes constitutes acceptance of the modified Terms.
13. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and Vexa regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Our failure to enforce any right does not waive that right.
- Assignment: You may not assign these Terms. We may assign our rights and obligations.
- Governing Law: These Terms are governed by applicable laws without regard to conflict of law principles.
